Corporate/Commercial Legal Assistant
We are currently looking for an intermediate level legal assistant to join our Corporate/Commercial Law Department. You will assist lawyers and senior paralegals with various legal and administrative matters related to corporate and commercial work.
Responsibilities
- Conducting minute book reviews, reporting of results including recommendations for correcting deficiencies.
- Conducting due diligence searches, reviewing, verifying, monitoring and summarizing results.
- Preparing documents relating to share purchase or asset purchase transactions, corporate reorganizations and tax reorganizations.
- Completing closing of transactions, including reviewing, revising and finalizing closing documents; disbursal of funds; flagging and anticipating potential issues; coordinating closing arrangements and undertakings in accordance with delegated responsibility by supervising lawyer.
- Preparing and organizing of incorporations, including post-incorp documentation.
- Dealing directly with the firm’s clients and liaising with accountants, lawyers and government agencies by telephone and in-person to take instructions, obtain information, and report on status of matters.
- You will handle files from beginning to completion, working independently with minimal supervision.
- Transaction support for lawyers and senior paralegals.
Qualifications and Skills
- Minimum five (5) years experience as a legal assistant/paralegal in a corporate/commercial law practice.
- Working knowledge of corporate law, including Business Corporations Act (British Columbia);
- Familiarity with legal terminology, forms, documents, government registries and filing processes related to corporate practice area.
- Proficient with Microsoft Office 365 (Outlook, Teams, Word); Legal software for client matter organization; and Corporate Records software such as ALF.
- Ability to review legal documents and agreements for accuracy, including preparing legal documents using precedents.
- Strong organization skills – ability to manage several files simultaneously under pressure and tight deadlines.
- Excellent communication skills.
- Ability to work within a team environment.
